ITC Committee Guide
  1. Effective Date

    This guide shall become effective on April 1, 1987.

  2. Technical Committees, Task Forces and Subcommittees

    Technical Committees, Task Forces and Subcommittees shall be established as follows: 

    1. International Technical Committee (ITC)
    2. Committee on Asphalt Emulsion Materials
    3. Committee on Paving Technology
    4. Committee on Maintenance Technology
    5. Task Forces (as required)/Liaison Committees Subcommittees
      (as required)
    6. ITC Executive Committee
  3. Functions of Committees, Task Forces and Subcommittees

    The functions of Committees, Task Forces and Subcommittees shall generally be as follows:

    International Technical Committee shall function in a technical advisory capacity to the Board of Directors. It shall develop technical programs for Board review in response to and in anticipation of market and production requirements.  It shall make work assignments to and receive reports and recommendations from the other standing committees and task forces appointed by them.  It shall coordinate AEMA technical activities with other groups with whom AEMA has common technical interests such as, The Asphalt Institute, American Society for Testing and Materials, and the American Association of State Highway and Transportation Officials.

    The ITC shall function to meet the purpose of the association which shall be the advancement and improvement of the asphalt emulsion industry.  Its work shall be directed toward the expanded and more efficient use of emulsified asphalt and a result of an improved state of the art.

    1. Committee on Asphalt Emulsion Materials will be a standing committee on the International Technical Committee. It shall concern itself in an advisory capacity with the production and use of asphalt emulsions equipment for the handling and storing of asphalt emulsion, modifiers and additives for asphalt emulsion, issues relating to the safe use and handling of asphalt emulsion and the monitoring application and improvements of tests and specifications for all types and grades of asphalt emulsion materials which shall include a regular review of ASTM committee D-4 and its subcommittees dealing with asphalt emulsion specifications, test methods or usage.  When deemed necessary, subcommittees may be appointed as required by the Chairman of this committee.
    2. Committee on Paving Technology shall concern itself with all aspects of the use of asphalt emulsion for paving of any type including recycling with asphalt emulsions.  This shall include matters related to pavement structural and mixture design and construction specifications, methods, equipment, and materials.  When deemed necessary, subcommittees may be appointed and given specific assignments as required by the Chairman of this committee.
    3. Committee on Maintenance Technology shall concern itself with all aspects of the uses of asphalt emulsion for pavement maintenance.  This shall include matters relating to surface treatments, slurry seals, tack coats, fog seals, patching, crack filling, priming, aggregate pre-coating and cape seals.  The committee will be concerned with equipment, materials and procedures.  When deemed necessary, subcommittees may be appointed and given specific assignments as required by the Chairman of this committee.
    4. Task Force/Liaison Committees shall be appointed by the International Technical Committee Chairman when deemed necessary and shall concern themselves with specific assignments.  Upon completion of their specific assignment(s), the task force shall be discontinued.
    5. ITC Executive Committee shall assist the ITC Chairman in developing work assignments, recommendations for the Board of Directors and as a mechanism to communicate with the various committees.
  4. Membership of Committees, Task Forces and Subcommittees

    These groups shall be formed as follows:

    International Technical Committee shall be composed of representatives from the North American Manufacturer, International and Supplier member companies of the AEMA with each company entitled (optional) to one representative and the tenure of membership at the discretion of the member company.  Persons for Chairman and Vice Chairman shall be recommended by the committee as provided for in Article VII, Section 2 of the AEMA Bylaws.  The Chairman and Vice Chairman shall be the official ITC representatives of voting members.  The Chairman and Vice Chairman may serve a maximum of two consecutive one year terms.  An individual shall serve a maximum of six years total as Chairman or Vice Chairman.  The Vice Chairman shall be next in line for the Chairmanship and shall assume this position unless declining to do so or by action of the Board of Directors prohibiting it. 

    1. Standing Committee on Asphalt Emulsion Materials shall be composed of the Chairman and the Chairmen of the individual subcommittees.  Committee composition should attempt to represent each AEMA region.  The Chairman of the Committee shall be appointed by the ITC Chairman.  The Committee Chairman may be any official ITC representative in good standing.  Chairmen shall serve a maximum of six years consecutively.  The Chairman shall serve as one of the committee members and shall appoint the remaining membership as previously described.
    2. Committee on Paving Technology shall have both a membership and Chairman as described for the Committee on Asphalt Emulsion Materials.
    3. Committee on Maintenance Technology shall have both a membership and chairman for the Committee on Asphalt Emulsion Materials.
    4. Task Forces, Chairman and members, shall be appointed by the ITC Chairman with consideration to achieving a balance in regionality and other interests.
    5. ITC Executive Committee shall be composed of the ITC Chairman, Vice Chairman and the chairman of the standing committees of Asphalt Emulsion Technology, Paving Technology and Maintenance Technology.
    6. Subcommittees, chairmen shall be appointed by the Chairman of the Asphalt Emulsion Materials, Paving Technology and Maintenance Committees for their respective committees and the membership shall be appointed by the subcommittee chairman from any AEMA member company or other membership category.
    7. Generally it shall be the responsibility of the chairman of each committee to maintain an accurate up to date membership list.  The membership list shall be submitted to the ITC Chairman annually.
    8. Any Chairman who misses 3 consecutive meetings shall forfeit the position.
  5. Meeting of Committees, Task Forces and Subcommittees

    International Technical Committee shall meet twice a year, as part of the AEMA Annual Meeting and in October, unless otherwise approved by the Board of Directors.  Special meetings may be called by the ITC Chairman.

    1. Committee on Asphalt Emulsion Materials shall meet preceding the two regular meetings of the International Technical Committee and at the same location, unless canceled at the discretion of the ITC Chairman.  Special meetings may be called by the committee Chairman.
    2. Committee on Paving Technology shall meet as described for the Committee on Asphalt Emulsion Materials.
    3. Committee on Maintenance Technology shall meet as described for the Committee on Asphalt Emulsion Materials.
    4. Task Forces shall meet as described for the Committee on Asphalt Emulsion Materials.
    5. Subcommittees may meet during and at the same location of the regular meeting of the standing committee or at special meetings called by their Chairman.
  6. Quorum for Committees, Task Forces and Subcommittees

    A quorum shall be declared by the Chairman and official business conducted under the following attendance conditions:

    1. International Technical Committee shall at all meetings have at least 20 members present to be sufficient to constitute a quorum for the transaction of business.
    2. Committee on Asphalt Emulsion Materials,
    3. Committee on Paving Technology,
    4. Task Forces, and
    5. Subcommittees shall at all meetings have not less than 50 percent of the members present to constitute a quorum for transaction of business.
  7. Voting for Committees, Task Forces and Subcommittees

    Each member represented shall have a single vote.  Matters requiring a vote normally will be decided by a majority vote as determined by circulation of an appropriate letter ballot among all members.  Proxy voting is allowed.  The Chairmen are allowed to vote. 

  8. Agenda for Committees, Task Forces and Subcommittees

    International Technical Committee agenda shall be prepared by the Chairman for all committee meetings and distributed to reach all committee members and AEMA Officers, Board of Directors and Headquarters Office not less than 14 days before a meeting.

    1. Committee on Asphalt Materials,
    2. Committee on Paving Technology,
    3. Committee on Maintenance and Technology, and
    4. Task Forces agenda shall be prepared by these Chairmen for all committee or task force meetings and distributed to reach their members and the International Committee Chairman and Vice Chairman not less than 14 days before a meeting.
    5. Subcommittees: a meeting notice with a brief description of objectives to be accomplished shall be prepared by the Subcommittee Chairman and distributed to reach members and the Committee Chairman responsible not less than 14 days before a meeting.
  9. Minutes for Committees, Task Force and Subcommittees

    International Technical Committee,

    1. Committee on Asphalt Materials,
    2. Committee on Paving Technology,
    3. Committee on Maintenance Technology, and
    4. Task Forces, the Vice Chairman of the International Technical Committee (ITC) with approval of his Chairman and the Chairmen of the other committees and task forces shall prepare minutes of their meetings which shall be distributed to their members.  In addition, the minutes of the ITC shall be distributed to the AEMA Officers, Board of Directors and Headquarters Office and the minutes of all committees and task forces distributed to the ITC Chairman and Vice Chairman.
    5. Subcommittees: a brief progress report shall be prepared by the subcommittee Chairman for all meetings and distributed to the committee chairman responsible for the subcommittee and to the ITC Chairman and Vice Chairman.
  10. Interpretations of Technical Committee Guide

    Interpretations of this Guide shall be referred to the AEMA Headquarters Office for clarification. In cases of substantial disagreement with Headquarters’ interpretation, the matter shall be referred to the Board of Directors for final decision. 

  11. Amendments to Technical Committee Guide

    Amendments to this Guide shall be subject to approval by the Board of Directors.  Recommendations for such amendments may originate from the Officers, Board of Directors, and the International Technical Committee.
